Merchant Agreement

This Merchant Agreement (“Agreement”) governs your participation as a seller on the Bantu Soko platform (“Services”). It is between you (or the entity you represent) (“Merchant,” “you,” “your”) and Bantu Soko—a product of Mswahili (T) Company Limited (“BANTU,” “we,” “us,” “our”). By registering or using any merchant feature, you accept these terms. If you do not agree, please do not register or sell on our platform.

1. Effective Date

This Agreement takes effect upon the earlier of (a) your acceptance during registration, or (b) your first use of any merchant feature (“Effective Date”).

2. Definitions

  • “Content” means any listings, descriptions, images, data or information you submit.
  • “Fees” means any charges you opt into for premium placement or promotional packages.
  • “Account Information” means your registration data, contact details and payment credentials.

3. Our Commitments

  • Security: We implement reasonable technical and organizational measures to protect your Content against unauthorized access, alteration, or disclosure.
  • Privacy: We use and disclose your Account Information only as described in our Privacy Policy or as required by law. We do not share your private Content except to operate the Services or comply with valid legal processes.
  • Service Changes: If we discontinue any core merchant functionality, we will provide at least 90 days’ notice via email and platform announcement.

4. Merchant Obligations

  • Account: Maintain an active merchant account with accurate, up-to-date email and phone number.
  • Legal Compliance: Comply with all applicable laws, regulations, and platform policies in your jurisdiction and in Tanzania.
  • Content Quality: Ensure all listings are truthful, non-infringing, and lawful. You alone are responsible for the legality, accuracy, and safety of your Content.

5. Fees & Payments

  • Basic listing and sales through Bantu Soko are free. Optional promotional packages are available for a fee, as described on our website.
  • All payments for Fees must be made in full at the time of purchase and are non-refundable, including in the event of any account suspension or termination.

6. Taxes

You are solely responsible for determining, collecting, reporting, and remitting all taxes (e.g., VAT, sales tax, withholding) applicable to your transactions. BANTU will not withhold or remit taxes on your behalf.

7. Suspension & Termination

We may suspend or terminate your merchant account immediately if you materially breach this Agreement or if your actions:

  • Pose security or reputational risks to BANTU, its users, or third parties;
  • Violate laws, regulations, or infringe third-party rights;
  • Engage in fraud, misrepresentation, or harm platform integrity.

Upon termination, you lose access to merchant features and promotional packages, and no refunds will be issued for unused Fees.

8. Amendments

We may update this Agreement by posting revisions on our website or emailing you. Changes take effect upon posting or, if by email, on the date specified in the notice. Continued use of the merchant Services after that date constitutes acceptance.

9. Governing Law

This Agreement is governed by the laws of the United Republic of Tanzania, without regard to conflict-of-law rules. Any dispute will be resolved exclusively in Tanzanian courts.

10. Contact

By using Bantu Soko’s merchant services, you acknowledge that you have read, understood, and agree to this Merchant Agreement.
